Terms of Service

These Terms govern use of the CondoGrid Infrastructure platform and Public Marketplace.

1. Acceptance of Terms

By creating an account, accessing, or using CondoGrid (the "Service"), you agree to these Terms of Service ("Terms"). If you are agreeing on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

2. Description of Service

CondoGrid provides sales infrastructure software for pre-construction real estate developers, including CRM, inventory management, transaction tracking, reporting, and related modules ("Infrastructure"), and an optional public broker marketplace for lead distribution ("Distribution").

3. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information when creating an account and to keep it up to date. CondoGrid may suspend accounts that show evidence of fraud, abuse, or violation of these Terms.

4. Subscriptions, Fees & Payment

Infrastructure

Infrastructure is billed annually per active project, based on the number of units in that project, at the then-current published rate of $150 per unit per year, subject to a $25,000 per year minimum per project. Subscriptions are billed in advance for a 12-month term. Customers who prepay a 36-month term for a project receive a 25% discount off the applicable annual rate for that term. Monthly billing is not available.

Distribution

Distribution is available only to customers with an active Infrastructure subscription. The Distribution fee is a 1% referral fee, paid by the developer to CondoGrid, Inc. — it applies only where a buyer was registered by a broker through the Public Marketplace, within the applicable registration window (currently 90 days), and that registered referral results in a closed transaction, consistent with the registration record maintained in the platform. No fee is owed where no such registered referral closes. This fee is separate from, and is not deducted from, any commission the developer pays to the referring broker — CondoGrid does not take a share of broker commissions.

General

All fees are non-refundable once paid, except as required by applicable law. Infrastructure subscriptions renew annually unless cancelled prior to the renewal date; cancellation does not entitle you to a refund of amounts already paid for the current term. A 36-month prepaid term is a single upfront commitment for that full period and is non-refundable and non-cancellable once paid, except as required by applicable law. We may change pricing with reasonable advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

You retain ownership of the contact, inventory, transaction, and other data you input into CondoGrid ("Customer Data"). You grant CondoGrid a license to host, process, and display Customer Data solely to provide and improve the Service. Our handling of personal information is further described in our Privacy Policy.

7. Broker & Third-Party Participants

Brokers who register through a Broker Portal or the Public Marketplace are subject to these Terms with respect to their use of the Service, and are independently responsible for their own compliance with applicable real estate licensing and fair housing laws. CondoGrid is not a party to, and does not guarantee, any transaction between a developer, broker, and buyer.

8. Intellectual Property

CondoGrid and its licensors retain all rights, title, and interest in the Service, including its software, design, and trademarks. Nothing in these Terms transfers any such rights to you, except the limited right to use the Service as intended.

9. Termination

You may cancel your Infrastructure subscription at any time, effective at the end of the current billing period. CondoGrid may suspend or terminate access for material breach of these Terms, including non-payment, after reasonable notice where practicable. Upon termination, we will provide a reasonable opportunity to export Customer Data, except where prohibited by law or in cases of account termination for cause.

The Service is provided "as is" and "as available." CondoGrid disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, CondoGrid will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Service. Our total liability for any claim arising from these Terms is limited to the amount you paid to CondoGrid in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold CondoGrid harmless from claims, damages, or expenses arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, and any disputes will be resolved in the state or federal courts located in Delaware, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and, where appropriate, by direct notice to account holders. Continued use of the Service after changes take effect constitutes acceptance.
